Quick summary
You may use and modify files downloaded from SPX Store for your personal use or within your organization on a maximum of 10 host computers. You are prohibited from sharing the files to any third party outside your organization.
1: Definitions
- Item: Any template, template pack, software component, asset, or file purchased or freely downloaded from the SPX Store that is covered by this License.
- Host Computer: Any physical or virtual computer, workstation, or device capable of loading, running, or otherwise utilizing the Item from SPX Store.
- Production: Any video stream, broadcast, media project, or digital output created by the Licensee using the Item.
- Licensee: The specific individual or legal organization that purchased or freely downloded the Item.
- Licensor: The copyright holder, SPX Graphics.
2: Grant of License & Scope of Use
The Licensor grants the Licensee a non-exclusive, non-transferable, commercial license to use the Item subject to the following conditions:
- Permitted Users: The Item may be used solely by the Licensee (if an individual) or by employees/contractors within the Licensee’s specific Organization.
- Device Limit: The Item may be installed and used on a maximum of ten (10) Host Computers total, which must be owned or controlled exclusively by the Licensee or their Organization.
- Client Work: Licensee may use the Item to create Productions for their own use or for the commercial use of their clients.
- Modification: Licensee may edit, modify, and adapt the Item to fit the specific needs of their Productions.
- Backup Copies: Licensee may create a reasonable number of backup or archival copies of the Item, provided they are stored securely and accessed only by the permitted Host Computers.
3: Prohibited Restrictions
The Licensee shall not, under any circumstances:
- Exceed Device Limits: Install or use the Item on more than ten (10) Host Computers. If use on additional computers is required, additional licenses must be purchased.
- Distribute Outside Organization: Share, sell, rent, lease, sublicense, distribute, or transfer the Item—whether in its original form or modified—to any individual or entity outside the Licensee’s Organization.
- Extract Assets: Isolate or extract individual assets, source files, or components from the Item to redistribute them as standalone products.
4: Disclaimer of Warranties and Limitation of Liability
THE ITEM IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE ITEM OR THE USE OR OTHER DEALINGS WITH THE ITEM.
